1. Acceptance of Terms
By accessing or using the LiveCourier platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Description of Service
LiveCourier is a cloud-based courier and logistics management platform that provides shipment tracking, driver dispatch, billing, customer portal, and related services. The Service is provided on a subscription basis as described on our Pricing page.
3. Account Registration
- You must provide accurate and complete information when creating an account.
- You are responsible for maintaining the security of your account credentials.
- You must notify us immediately of any unauthorized access to your account.
- One person or entity may not maintain more than one free trial account.
- You must be at least 18 years old to create an account.
4. Free Trial
New accounts receive a 7-day free trial with access to Pro plan features. No credit card is required. At the end of the trial period, you must subscribe to a paid plan to continue using the Service. If you do not subscribe, your account will be limited to basic functionality until a plan is selected.
5. Subscription and Payment
- Paid plans are billed monthly or annually, as selected at the time of subscription.
- Payments are processed through PayPal. You agree to PayPal's terms of service for payment processing.
- Subscription fees are non-refundable except as required by applicable law.
- We reserve the right to change pricing with 30 days' written notice. Existing subscriptions continue at their current rate until renewal.
- You may upgrade, downgrade, or cancel your subscription at any time from your account settings.
6. Your Data
- You retain all ownership rights to the data you enter into the Service ("Your Data").
- We do not access, use, or share Your Data except as necessary to provide the Service or as required by law.
- You are responsible for the accuracy and legality of Your Data.
- You may export Your Data at any time using the built-in CSV export features.
- Upon account cancellation, Your Data is retained for 30 days, then permanently deleted.
7. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws
- Attempt to gain unauthorized access to the Service or other accounts
- Interfere with or disrupt the Service or its infrastructure
- Reverse engineer, decompile, or disassemble any part of the Service
- Use automated means to access the Service beyond what the API permits
- Resell, sublicense, or redistribute the Service without written authorization
- Upload malicious content or attempt to exploit security vulnerabilities
8. API Usage
If your plan includes API access, you may use the REST API subject to the published rate limits and documentation. We reserve the right to throttle or suspend API access that degrades the Service for other users. API credentials are confidential and must not be shared publicly.
9. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned maintenance.
10. Intellectual Property
The Service, including its design, code, features, and documentation, is the intellectual property of LiveCourier and is protected by copyright and other intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand assets.
11. Third-Party Integrations
The Service may integrate with third-party services (e.g., carrier APIs, payment processors). Your use of these integrations is subject to the respective third party's terms and policies. We are not responsible for the availability or performance of third-party services.
12. Limitation of Liability
To the maximum extent permitted by law:
- The Service is provided "as is" without warranties of any kind, express or implied.
- We are not liable for any indirect, incidental, special, consequential, or punitive damages.
- Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
- We are not liable for damages resulting from unauthorized access to your account due to compromised credentials.
13. Indemnification
You agree to indemnify and hold harmless LiveCourier from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
14. Account Termination
- You may cancel your account at any time from your account settings or by contacting us.
- We may suspend or terminate your account for violation of these Terms, with notice where practicable.
- Upon termination, your right to use the Service ceases immediately.
- Sections regarding data ownership, limitation of liability, and indemnification survive termination.
15. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes by email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the changes, you may cancel your account.
16. Governing Law
These Terms are governed by the laws of the United States. Any disputes arising from these Terms or the Service shall be resolved in the courts of the applicable jurisdiction.
